1.Acceptance
These Terms of Service (“Terms”) govern access to and use of the Terra PPC website and the Terra PPC software service (together, “Terra PPC”). Terra PPC is operated by ĐT ORGANIC COMPANY LIMITED, the registered foreign-language name of CÔNG TY TNHH ĐT ORGANIC (Enterprise Registration No. 5901217159), a company registered in Vietnam (“we”, “us”). Terra PPC is a product and brand of that company, not a separate legal entity. By accessing the website, submitting an inquiry or using the service, you agree to these Terms.
If you use Terra PPC on behalf of an organization, you confirm that you have authority to accept these Terms for that organization, and “you” includes that organization. If you and ĐT ORGANIC COMPANY LIMITED have signed a separate written agreement or order form for Terra PPC, that agreement controls where it conflicts with these Terms.
2.Business user eligibility
Terra PPC is intended for businesses and professionals, such as Amazon sellers, brands, advertising teams and agencies. You must be at least 18 years old and able to form a binding contract. Terra PPC is not intended for personal, family or household use.
3.Description of Terra PPC
Terra PPC is advertising analytics, seller-business intelligence and controlled automation software for Amazon sellers, brands and agencies. Depending on your agreement and the functionality enabled, it is designed to provide advertising analytics, search-term intelligence, seller-business intelligence where authorized, modeled profitability, multi-account organization, rule-based recommendations and automation in Manual, Review or Auto mode with guardrails, AI/MCP-assisted workflows and audit history.
4.Early commercial access
Terra PPC is offered through a request-and-quote process. Access, features, integrations and supported marketplaces may be limited, may vary by customer and may change as the product develops. Descriptions on the website explain how Terra PPC is designed; they do not commit us to providing a specific feature unless it is included in your agreement.
5.Third-party platforms
Terra PPC is designed to work with third-party platforms, including Amazon services such as the Amazon Ads API and the Selling Partner API. Your use of those platforms is governed by their own terms and policies. ĐT ORGANIC COMPANY LIMITED does not control third-party platforms and is not responsible for their availability, accuracy, decisions or changes. Terra PPC is not affiliated with or endorsed by Amazon.
7.Customer responsibilities
You are responsible for:
- the accuracy of information and configuration you provide, including product economics, targets and rule settings;
- choosing automation modes and guardrails appropriate for your business;
- reviewing recommendations and outputs before relying on them;
- complying with Amazon's policies and with all laws that apply to your advertising and business;
- holding the authority, consents and client permissions needed for the accounts you connect;
- the activities of the users you invite.
8.Acceptable use
You must not:
- use Terra PPC in violation of law, third-party rights, or Amazon's terms and policies;
- attempt to access accounts, data or systems you are not authorized to access, including other customers' data;
- probe or test for vulnerabilities except as described on the security reporting page, or disrupt or overload the service;
- reverse engineer, copy or create derivative works of Terra PPC, except where the law allows it;
- circumvent usage limits, authorization, scope controls or guardrails;
- use Terra PPC to sell, resell, publish or build datasets from data obtained through Amazon APIs;
- upload malicious code or unlawful content;
- resell or sublicense Terra PPC without our written permission.
9.Account access
You are responsible for keeping sign-in credentials confidential, for giving users appropriate permissions and for activity under your accounts. Tell us promptly about suspected unauthorized access through the security reporting page.
10.Automation responsibilities
Automation runs according to the modes, rules and guardrails you configure. In Manual mode, automation does not apply changes. In Review mode, changes apply only after a permitted user approves them. In Auto mode, eligible actions may apply automatically within your configured scope, permissions and guardrails.
You are responsible for your configuration and for decisions made under it. We may pause, limit or block automated actions where needed for security, platform compliance or to prevent errors, and we will make reasonable efforts to tell you when we do.
11.AI/MCP features
AI/MCP-assisted features may produce analysis, summaries or recommendations that are incomplete or inaccurate. Review outputs before acting on them. AI-assisted requests are subject to the same authorization, scope, mode and guardrail controls as other functionality. You are responsible for requests made by your users and for how outputs are used. These features may depend on third-party AI providers and compatible clients, whose availability may change.
12.Advertising results disclaimer
Terra PPC does not guarantee sales, rankings, advertising profitability, ACoS, ROAS or other business outcomes. Advertising performance depends on many factors outside our control, including marketplace competition, Amazon's systems and policies, product and pricing decisions, and your configuration.
13.Data
As between you and ĐT ORGANIC COMPANY LIMITED, you keep your rights in the data you provide and the data made available through your authorized connections (“Customer Data”). You grant ĐT ORGANIC COMPANY LIMITED a limited right to process Customer Data to provide, secure and support Terra PPC in accordance with these Terms, the Privacy Policy and applicable Amazon requirements. We do not sell Customer Data. We may use aggregated information about how the service is used — not Amazon-related data — to operate and improve Terra PPC.
14.Intellectual property
Terra PPC, including its software, design, documentation and trademarks, is owned by ĐT ORGANIC COMPANY LIMITED or its licensors. Subject to these Terms and your agreement, you receive a limited, non-exclusive, non-transferable right to use Terra PPC for your internal business purposes during your subscription. We may use feedback you provide without obligation to you.
15.Confidentiality
Each party will protect the other's non-public information disclosed in connection with Terra PPC with reasonable care and use it only to provide or receive the service, except where disclosure is required by law.
16.Security
We maintain security measures designed to protect Terra PPC and Customer Data, described in our Security Overview. No system is completely secure. Report security concerns through the security reporting page.
17.Fees and pricing
Terra PPC pricing is quote-based. Fees, billing terms and taxes are set out in your quote, order form or agreement. Requesting access or a quote does not create a subscription or a payment obligation. Terra PPC fees are separate from advertising spend and from any third-party or platform charges, including amounts billed by Amazon.
18.Suspension and termination
You may stop using Terra PPC at any time, subject to your agreement. We may suspend or terminate access if you breach these Terms, if the law or a platform provider requires it, or to protect the service, other customers or Amazon-related data. When access ends, your right to use Terra PPC ends, and Customer Data is handled as described in the Privacy Policy and on the Data Deletion page.
19.Service changes
We may add, change or remove features. If a change materially reduces functionality you have paid for, we will give notice where reasonably possible.
20.Third-party platform changes
Amazon and other platforms may change their APIs, policies, approval status or availability. Such changes may require us to modify, limit or discontinue functionality, and they are not a breach of these Terms.
21.Warranties and disclaimers
Terra PPC is provided “as is” and “as available”. To the fullest extent permitted by law, ĐT ORGANIC COMPANY LIMITED disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that Terra PPC will be uninterrupted or error-free or that its outputs will be accurate.
22.Limitation of liability
To the fullest extent permitted by law, ĐT ORGANIC COMPANY LIMITED will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, advertising spend or data, arising from or related to Terra PPC. ĐT ORGANIC COMPANY LIMITED's total liability for all claims relating to Terra PPC will not exceed the amounts you paid for Terra PPC in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.
23.Applicable law
The law that governs these Terms, and the courts that may hear disputes, are those specified in your written agreement or order form with ĐT ORGANIC COMPANY LIMITED. Where no agreement specifies them, the laws of Vietnam, where ĐT ORGANIC COMPANY LIMITED is registered, apply without regard to conflict-of-laws rules, and disputes are heard by the competent courts of Vietnam, to the extent permitted by law. Nothing in these Terms removes protections that the mandatory laws of your own country give you.
24.Changes to these Terms
We may update these Terms. The “Last updated” date at the top shows the current version. Material changes take effect after notice, and continued use of Terra PPC after that means you accept them.
25.Contact
Questions about these Terms can be sent to the contact form.
